Professional Services Terms

1. Scope

These terms govern the professional relationship between ZEWEUX and its clients for design, development, and consulting services. Specific project details are defined in individual statements of work (SOW) or service agreements.

2. Proposals & Estimates

Estimates and proposals are valid for the period stated in the proposal from the date of issue. Pricing may be revised if project scope changes materially.

Proposals are not binding contracts until formally accepted.

3. Client Responsibilities

  • Timely provision of content, feedback, and approvals.
  • Access to necessary accounts, credentials, and third-party services.
  • A designated point of contact for decisions and feedback.
  • Review cycles completed within agreed timeframes.

4. Project Scope

Work is performed as defined in the signed SOW or agreement.

Changes to scope require a formal change request. ZEWEUX will assess the impact of changes on timeline and budget before proceeding.

5. Deliverables & Acceptance

Deliverables are provided as specified in the project agreement. Client review and approval processes are defined per project.

6. Timelines

Project timelines are estimates based on agreed scope.

Timelines depend on client responsiveness and timely feedback. Delays in client input may impact delivery dates.

7. Third-Party Services

Projects may incorporate third-party tools, platforms, or services. Licensing costs for third-party services are typically borne by the client unless otherwise agreed.

ZEWEUX is not responsible for third-party service availability or changes.

8. Intellectual Property

Specifically commissioned deliverables transfer to the client upon full payment, as set out in the project agreement. Pre-existing materials, tools, and methodologies remain the property of ZEWEUX.

9. Confidentiality

Both parties agree to keep confidential information private.

ZEWEUX will not disclose client business information without consent.

10. Maintenance & Support

Post-launch support is defined in your project agreement. Expected fixes or adjustments identified during the agreed support window are covered as set out in that agreement.

11. Limitation of Liability

ZEWEUX's liability is limited to the total fees paid for the specific project giving rise to the claim.

We are not liable for indirect, consequential, or incidental damages.

12. Termination

Either party may terminate per the terms of the specific project agreement.

Outstanding work completed and expenses incurred are payable upon termination.

13. Governing Law

These terms are governed by the laws of the State of California, United States.
